1. The undersigned, Kale Sparling and Kerry Lust are the current and acting President and Secretary, respectively, of CF Meadows Homeowner's Association.
2. A Special Meeting of the Members of CF Meadows Homeowner's Association was held on the 27th day of July, 2004, at P1PAC Center, 1521 Technology Pkwy, Cedar Falls, Iowa, pursuant to notice of said meeting given in all respects as set forth and required under the Bylaws of the CF Meadows Homeowner's Association.
3. A majority of the owners of lots within Meadows Addition, and a majority, constituting a quorum of the Members of the Association were present at said meeting.

(a) The following Restriction is added to the Deed of Dedication:
"Any restrictions contained in the Deed of Dedication of Meadows Addition in the City of Cedar Falls, Black Hawk County, Iowa, may be amended by the affirmative vote f two-thirds (2/3) of the Members of the Association constituting a quorum at any annual meeting or special meeting of the Members held pursuant to Article 4 of the ByLaws tf the CF Meadows Homeowner's Association."
(b) Numbered Paragraph 20 under the Restrictions subdivision of the Deed of Dedication is hereby stricken and replaced as follows.
20. Alteration, erection or placement of structures.
A. No building or structure shall be erected, placed or altered on any undeveloped lot in this subdivision until the building plans, and plot plan, showing all buildings, patios, and pools, and showing the location thereof and side yard distances, real yard distances,frontnyard distances, driveways, and walkways, and type of construction have been approved in writing as to conformity and harmony of external design and quality workmanship and materials with existing structures in the subdivision by two representatives of Tri-Star, Inc.
B. No building or structure shall be erected, place or altered on aity developed lot in this subdivision until the full plans for any such erection, placement, or alteration have been approved in writing as to conformity and harmony of external design and quality workmanship and materials with existing structures in the subdivision by a majority of the Board of Directors of the Association.
C. For purposes of this Paragraph 20, a developed lot shall be defined as any lot upon which a permanent residence has been constructed. All other lots shall be considered undevelopedforpurposes of this Paragraph 20.
